Requirements: 

In-depth knowledge of the main private and basic commercial law institutes. Passing the basic commercial law exam is preparatory.

If the health situation due to COVID 19 allows for face-to-face exams, the exam will take place in writing and will be divided into two parts: 15 multiple choice questions on the manual part; 3 "open" questions, to which the student will have to answer with a short written dissertation, on the monographic part.

Each of the closed questions will be given a score of two, for a total of 30 points. Each of the "open" questions will be assigned a score from 0 to 30, the three marks obtained will be averaged.

The final mark, attributed in thirtieths, is obtained by the average of the mark attributed to each of the two parts making up the test. Nonetheless, the candidate must be sufficient on both sides; otherwise, he will have to repeat the entire test starting from the next appeal.

The duration of the exam is 75 minutes.
The test is aimed at verifying the acquisition and correct understanding of the proposed teaching material.

The mark will take into account the student's ability to correctly answer the questions asked, demonstrating that he possesses properties of language, aptitude for reasoning, ability to argue with a critical spirit. Honors will be awarded if the student has distinguished himself for the linguistic and argumentative skills demonstrated.

If the health situation due to COVID 19 makes it necessary to carry out the remote exam in telematic form through Microsoft Teams, the test will take place in oral form only through an interview lasting a total of 45 minutes, first on the manual part and then on the part monographic. Again, the vote will take into account the capacity of the

student to correctly answer the questions asked, demonstrating to possess properties of language, aptitude for reasoning, ability to argue with a critical spirit. Honors will be awarded if the student has distinguished himself for the linguistic and argumentative skills demonstrated.

The course aims to illustrate and critically deepen the law of companies to list the content in the Consolidated Financial Intermediation Text (TUIF - Legislative Decree February 58, n. 58) and in other regulations.

The course is divided into two parts, the first of a general nature and the second monographic one, linked by the red thread of the efficiency of the system of supply of financial resources to medium-large companies and by the role that the protection of savers and corporate governance.

The first part of the course will deal with the regulation of companies with listed shares.

The second part of the course will be dedicated to the monographic topic of information duties in the governance of the joint-stock company.

There is also a seminar, held by Dr. Lucia Lopez, on the general principles governing financial markets, on Consob, on information to the public and on public purchase and exchange offers.

Convenzionale

The teaching activity consists of 35 hours of lectures, appropriate to the 6 credits attributed to the subject. Attendance of the course is highly recommended for understanding the subject and achieving the course objectives.
